Terms & Conditions

1. Acceptance of Terms

By requesting a quote, executing a project contract, or otherwise engaging Atreas Kitchen & Bathroom Remodeling ("Atreas," "Contractor") for remodeling services, the Client agrees to be bound by these Terms and Conditions in their entirety. These Terms are incorporated by reference into any project agreement, proposal, or contract between the parties. If Client does not agree to these Terms, Client should not engage Atreas for services.

2. Services

Atreas provides residential kitchen and bathroom remodeling services throughout the State of Minnesota. All work is performed by Atreas's in-house licensed trades professionals pursuant to the proprietary Restora Method. The specific scope of work, materials, selections, and project timeline applicable to each engagement shall be set forth in a separate written project contract executed by both parties, which shall control in the event of any conflict with these Terms.

3. Free 3D Design & Quote

Atreas may, at its discretion, provide a complimentary 3D design rendering and written cost estimate ("Quote") to prospective clients at no charge and with no obligation to proceed. All 3D renderings, design concepts, drawings, specifications, and related materials produced by Atreas ("Design Materials") remain the sole and exclusive intellectual property of Atreas and are protected under the U.S. Copyright Act (17 U.S.C. § 101 et seq.). Client is expressly prohibited from reproducing, distributing, sharing, or using Design Materials to solicit competing bids or proposals from any third party without the prior written consent of Atreas. Unauthorized use of Design Materials may result in legal action.

4. Pricing Certainty Guarantee

Atreas guarantees that final project costs will not exceed the quoted contract price by more than ten percent (10%) for work within the original agreed-upon scope ("Price Certainty Guarantee"). In the event that costs attributable solely to Atreas's performance exceed this threshold, Atreas shall provide the excess labor at no additional charge to the Client.

The Price Certainty Guarantee does not apply to, and Client shall be responsible for additional costs arising from:

5. Project Timeline

Atreas shall endeavor to complete all project work within the estimated timeframe communicated in the project contract (typically four (4) weeks). All timelines are estimates and are not guarantees of completion by a specific date. Project timelines may be extended due to Client-requested scope changes, material lead times, permit processing by the applicable Authority Having Jurisdiction (AHJ), weather, or concealed site conditions. Atreas shall provide the Client with written notice of any anticipated material delay and shall work in good faith to minimize disruption. Atreas shall not be liable for delays caused by circumstances beyond its reasonable control, including acts of God, labor disputes, governmental actions, or supply chain failures.

Payment obligations, deposit amounts, progress payment schedules, and final payment terms shall be set forth in the executed project contract. The following general terms apply:

Delays or additional costs arising directly from Client's failure to fulfill these obligations shall not be subject to the Price Certainty Guarantee and may result in Change Orders pursuant to Section 8.

8. Changes to Scope of Work

Any changes, additions, or deletions to the agreed scope of work must be memorialized in a written Change Order, signed by both parties prior to the commencement of the changed work. Each Change Order shall describe the modification, any adjustment to the contract price, and any impact on the project schedule. Changes ordered verbally or via electronic communication do not constitute a binding Change Order unless subsequently confirmed in a signed writing. Additional costs incurred under approved Change Orders are not subject to the Price Certainty Guarantee set forth in Section 4.

9. Warranties

Workmanship Warranty

Atreas warrants all labor and workmanship performed under the project contract against defects in workmanship for a period of one (1) year from the date of substantial completion, as defined under Minnesota Statutes § 337.01, Subd. 5. This warranty is provided in addition to, and does not limit, any rights Client may have under Minnesota Statutes Chapter 327A (Statutory Warranties for New Home Construction), to the extent applicable.

Materials & Fixtures

Manufacturer warranties apply to all materials, fixtures, appliances, and equipment installed pursuant to the project contract. Atreas will reasonably assist Client in pursuing valid manufacturer warranty claims but shall not be liable for defects in materials beyond its workmanship warranty.

Warranty Exclusions

The workmanship warranty does not cover: (a) normal wear and tear; (b) damage caused by Client misuse, neglect, or abuse; (c) alterations or repairs made by parties other than Atreas after project completion; (d) damage caused by casualty events; or (e) pre-existing conditions not caused by Atreas.

10. Permits & Compliance

Atreas shall obtain all permits required under Minnesota Statutes § 326B (Minnesota Department of Labor and Industry construction licensing and building code statutes) and applicable local ordinances governing the project jurisdiction. All work shall be performed in conformance with the Minnesota State Building Code (Minnesota Rules, Chapter 1300 et seq.), including applicable mechanical, plumbing, and electrical codes as adopted by the Authority Having Jurisdiction (AHJ).

Permit Fees — Not Included in Contract Price

Permit fees are not included in the quoted contract price. Because permit fee schedules are established independently by each municipality pursuant to Minnesota Statutes § 326B.153, all permit costs are determined solely by the issuing jurisdiction and will be passed through to the Client at cost, without markup. Atreas will provide the Client with a written estimate of anticipated permit fees prior to submission. Client acknowledges that actual fees are set by the AHJ and are subject to change without notice by the applicable jurisdiction.

Licensing

Atreas holds all licenses required under Minnesota Statutes § 326B for the scope of work performed, including Residential Building Contractor licensure as applicable. Copies of applicable licenses are available upon request.

11. Lien Rights

Client is hereby notified that persons or entities furnishing labor or materials for the improvement of real property may have lien rights under Minnesota Statutes Chapter 514 (Minnesota Mechanics' Lien Law) if they are not paid. Atreas shall furnish Client with a preliminary lien notice as required by Minnesota Statutes § 514.011. Client's right to withhold payment to Atreas does not extinguish the lien rights of Atreas's material suppliers or subcontractors. Client is advised to consult with legal counsel regarding lien waivers and the management of lien exposure in connection with this project.

12. Limitation of Liability

To the fullest extent permitted by applicable law, including Minnesota Statutes § 337.02 (Limitation of Liability in Construction Contracts), Atreas's aggregate liability to Client for any and all claims arising from or related to the project, whether in contract, tort, warranty, or otherwise, shall not exceed the total contract price paid by Client to Atreas for the specific project giving rise to the claim. In no event shall Atreas be liable to Client for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of use, loss of income, or diminution in property value, even if Atreas has been advised of the possibility of such damages.

13. Indemnification

To the extent permitted by Minnesota Statutes § 337.02, Client shall indemnify, defend, and hold harmless Atreas and its officers, employees, and agents from and against any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or resulting from: (a) Client's breach of these Terms or the project contract; (b) Client's failure to disclose known property conditions as required under Section 7; or (c) the acts or omissions of Client, Client's agents, or third parties not under Atreas's direction or control.

14. Dispute Resolution

Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or any project contract (collectively, "Dispute"), the parties shall first attempt to resolve the Dispute through good-faith negotiation for a period of not less than thirty (30) days following written notice from one party to the other.

Mediation

If the Dispute is not resolved through negotiation, either party may submit the Dispute to non-binding mediation administered by a mutually agreed-upon mediator in Hennepin County, Minnesota, before initiating any formal legal proceeding. Costs of mediation shall be shared equally.

Governing Law & Venue

These Terms and all project contracts shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflicts of law principles. Any legal action arising from these Terms or a project contract shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and each party hereby consents to personal jurisdiction therein.

15. Insurance

Atreas maintains general commercial liability insurance, workers' compensation insurance as required by Minnesota Statutes § 176.181, and such other insurance coverages as may be required by law or the project contract. Evidence of insurance shall be provided to Client upon written request. Client is responsible for maintaining adequate homeowner's or property insurance throughout the duration of the project.

16. Privacy & Data Use

Personal information collected from Client during the quoting, contracting, and project execution process — including name, address, contact information, and project details — is used solely for the purpose of delivering services and communicating with Client regarding the project. Atreas does not sell, rent, or otherwise transfer Client personal information to unaffiliated third parties, except as required by law or as necessary to perform the contracted services (e.g., material suppliers, permit offices). For full details, please refer to Atreas's Privacy Policy, available upon request.

17. Entire Agreement & Severability

These Terms, together with the executed project contract and any written Change Orders, constitute the entire agreement between Atreas and Client with respect to the subject matter hereof and supersede all prior and contemporaneous negotiations, representations, warranties, or agreements, whether written or oral. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

18. Modifications to These Terms

Atreas reserves the right to update or modify these Terms and Conditions at any time. Clients will be provided with written notice of any material changes prior to the execution of a new project contract. Modifications do not apply retroactively to existing executed project contracts.
